How do I incorporate?

The first thing we do when incorporating is a “NUANS” search to make sure that the name you want  for your corporation is available. Assuming that the desired name is available, the next thing that we do is prepare and file Articles of Incorporation with Corporate Registry. The Articles specify things like the number and classes of shares that the corporation is authorized to issue, the terms and conditions of those shares, the minimum and maximum number of directors that the corporation can have, any applicable share transfer restrictions, and any other restrictions. Along with the Articles of Incorporation, we also file a Notice of Directors and Notice of Address.

Once the Articles of Incorporation are filed and the Notice of Directors and Notice of Address are filed, we create a minute book. The minute book contains all of your corporate documents: the Certificate of Incorporation, the Articles of Incorporation, bylaws, director resolutions, shareholder resolutions, and share certificates.
